In general

SavaPay owns and operates this application. This document governs your relationship with SavaPay.io ("SavaPay"). Access to use of SavaPay, and the products and services available through this application are subject to the following terms, conditions and notices (the "Terms of Service"). By using the services, you are agreeing to all of the Terms of Service, as may be updated by us from time to time. You should check this page regularly to take note of any changes we may have made to the Terms of Service.

The application and the services are provided to you subject to these Terms of Use (these "Terms"). For the purpose of the Terms and wherever the context so requires, the terms "you" and "your" shall mean any person who uses the application or services in any manner whatsoever including persons using the application and its service. By using the service, you agree to comply with these Terms. Additionally, when using a portion of the Service, you agree to conform to any applicable posted guidelines for such service, which may change or be updated from time to time at SavaPay's sole discretion. You understand and agree that you are solely responsible for reviewing these Terms periodically. Should you object to any term or condition of these Terms, any guideline, or any subsequent changes thereto or become unhappy with SavaPay or their service in any way, your only choice is to immediately discontinue use of SavaPay. These Terms may be updated by SavaPay at any time at their sole discretion. SavaPay may send you notices of changes to the website or the Terms.

Services

By using or accessing the Platform and the Services, you agree to follow and be bound by these Terms of Service and our Privacy Policy, as updated from time to time. Because SavaPay provides a wide range of services, we may ask you to review and accept supplemental terms that apply to your interaction with a specific product or service. Your use of the Services constitutes your acknowledgment and acceptance of the specific requirements and terms of use for certain of the SavaPay Services.

The Platform enables customers to send, receive, and manage digital payments and cryptocurrency transactions through SavaPay's infrastructure and third-party service providers. SavaPay may utilize licensed third-party partners to facilitate certain transactions. SavaPay is not liable or responsible for any third-party provider's compliance with applicable federal, state, or local laws, rules, regulations or standards pertaining to their businesses. In addition, SavaPay does not guarantee the quality of services provided by third-party providers and does not independently verify, and is not liable for, representations made by such providers.

Access to the application

Access to the application is permitted on a temporary basis, and we reserve the right to withdraw or amend the services without notice. We will not be liable if for any reason this application is unavailable at any time or for any period. Periodically, we may restrict access to some parts or all of this application.

Member account, password, and security

Our services require "you", the user, to open an account. All users must complete the registration process by providing necessary details as prompted by the applicable registration forms. Users will also create a password and a username. You are responsible for the maintenance and confidentiality of your username and password. All users agree to notify SavaPay immediately of any unauthorized use of your account or any other security breach.

User registration

You will be required to create an account with SavaPay before making use of their services. You agree to keep your password private and will be solely responsible for all activity under your account. We reserve the right to reclaim, remove, or change the username you select if we conclude, in our sole discretion, that such username is obscene, inappropriate, or otherwise objectionable.

Prohibitions

The following activities are prohibited and will result in immediate suspension of your account. While using SavaPay, you are not allowed to:

  • Commit or encourage a criminal offense or any activity that breaches any applicable local, national or international law or regulation.

  • Transmit or distribute a virus, Trojan, worm, logic bomb or any other material which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene; hack into any aspect of the service.

  • Corrupt data or interfere with system integrity.

  • Infringe upon the rights of any other person's proprietary rights.

  • Send any unsolicited advertising or promotional material, commonly referred to as "spam".

  • Conduct yourself in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

  • Use SavaPay for the purpose of harming or attempting to harm minors in any way.

  • Send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards.

  • Engage in money laundering, terrorist financing, or any other financial crime.

Breaching this provision would constitute a criminal offense and SavaPay will report any such breach to the relevant law enforcement authorities and disclose your identity to them.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of SavaPay and its services.

User representations

By making use of SavaPay, you warrant and represent that: (1) all registration information you submit is accurate, valid, complete and current; (2) you agree to comply with these Terms of Use, and you have the legal capacity to do so; (3) you are not a minor in the jurisdiction in which you reside; (4) you will maintain the accuracy of such information and promptly update us on any changes; (5) you will not access SavaPay using automated means, bots, scripts or the like; (6) you will not make use of SavaPay for any unauthorized or illegal purposes; and (7) your use of this application will not violate any applicable regulation or law.

If you provide any information that is inaccurate, untrue, incomplete, or not current, we reserve the right to terminate or suspend your account and refuse all and any current or future use of the same (or any portion thereof).

Sending and receiving funds

Purpose

You warrant and represent that your use of the Services is solely to send and receive funds, and make payments for goods and services as permitted under these Terms.

Limits

The amount of funds you can send or receive may be restricted based on a risk assessment and the level of verification on your user account. Your user profile will indicate what is required to increase your limits. For questions, please contact Client Services at hello@SavaPay.io.

Account Review

We review and monitor all transactions for risk, fraud, money laundering and terrorist financing activity. For certain potentially high-risk transactions, we will place a hold on the funds, conduct a review, may contact you for additional information, then either clear or cancel the transaction. In order to prevent financial loss to you or to us, we may place a delay on a transaction for a period of time, refuse to process a transaction, or deactivate your account. If we have reason to suspect that you are using the services to violate local, state or federal laws, we may share information about you with law enforcement agencies.

Transactions

When you send funds, the receiver will accept them. Certain transactions may be irreversible once confirmed. You agree that you will not hold us liable for any damages resulting from sending funds to the wrong user, or sending the wrong amount of funds to any user. This is your responsibility. To request a transaction review due to suspected fraud, money laundering, or anything that may violate state or local laws, you must submit a request in writing to hello@SavaPay.io. We cannot guarantee that a refund review will be approved.

Eligibility and age requirement

You must be at least 18 years of age to use SavaPay. By creating an account, you represent and warrant that you are at least 18 years old and that you have the legal capacity to enter into a binding agreement. If we discover that you are under 18, we will immediately terminate your account and any associated funds will be handled in accordance with applicable law.

Fees and pricing

SavaPay may charge fees for certain services, including but not limited to transaction fees, currency conversion fees, and withdrawal fees. Applicable fees will be disclosed to you before you confirm a transaction. SavaPay reserves the right to change its fee structure at any time. Updated fees will be effective upon posting within the application. Your continued use of the Services after fee changes constitutes acceptance of the new fees.

Fees may vary based on the type of transaction, the payment method used, and the destination of funds. A full schedule of current fees is available within the application under Account Settings or upon request at hello@SavaPay.io.

Cryptocurrency transactions

SavaPay may enable you to buy, sell, send, receive, or hold cryptocurrency assets. You acknowledge and agree that:

  • Cryptocurrency values are highly volatile and may fluctuate significantly in a short period of time. SavaPay is not responsible for any losses resulting from market volatility.

  • Blockchain transactions are irreversible once confirmed on the network. SavaPay cannot reverse, cancel, or refund a cryptocurrency transaction that has been broadcast to the blockchain.

  • You are solely responsible for ensuring the accuracy of wallet addresses and transaction details before confirming any cryptocurrency transfer.

  • Regulatory changes in any jurisdiction may affect the availability of cryptocurrency services. SavaPay may suspend or discontinue cryptocurrency services at any time to comply with applicable laws.

  • SavaPay does not provide investment, financial, tax, or legal advice. Any decision to purchase or sell cryptocurrency is your own and made at your sole risk.

Account suspension and termination

SavaPay reserves the right to suspend, restrict, or terminate your account at any time, with or without notice, for any reason, including but not limited to: (1) suspected violation of these Terms; (2) suspected fraudulent, illegal, or unauthorized activity; (3) requests from law enforcement or other government agencies; (4) prolonged inactivity; or (5) unexpected technical or security issues.

You may close your account at any time by contacting us at hello@SavaPay.io. Upon account closure, you must withdraw any remaining funds within 30 days. After this period, unclaimed funds will be handled in accordance with applicable abandoned property laws. Account closure does not relieve you of any obligations incurred prior to closure.

Third-party services

SavaPay integrates with and relies upon third-party service providers to deliver its services, including but not limited to payment processors, mobile money operators, cloud infrastructure providers (such as Google Firebase), identity verification services, and push notification services (such as OneSignal). Your use of SavaPay may be subject to the terms and privacy policies of these third-party providers.

SavaPay is not responsible for the availability, accuracy, or performance of third-party services. In the event of a third-party service disruption, SavaPay shall not be liable for any resulting delays, failures, or losses in connection with your transactions or account access.

Push notifications and communications

By creating an account, you consent to receive push notifications, in-app messages, emails, and SMS communications from SavaPay relating to your account, transactions, security alerts, and service updates. You may manage your notification preferences within the application settings. However, certain communications related to account security, legal notices, and regulatory requirements cannot be opted out of.

Data privacy and personal information

Your use of SavaPay is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using our services, you consent to the collection and use of your data as described in the Privacy Policy.

You have the right to request access to, correction of, or deletion of your personal data, subject to applicable law and our legal obligations (such as regulatory record-keeping requirements). To exercise these rights, contact us at hello@SavaPay.io. We will respond to your request within 30 days.

SavaPay retains transaction records and account information for a minimum period as required by applicable financial regulations (typically 5-7 years). Upon account deletion, personal data not subject to regulatory retention will be permanently deleted within 90 days.

Dispute resolution

If you have a dispute regarding a transaction or our services, you must first contact us at hello@SavaPay.io within 60 days of the disputed transaction. We will investigate and respond within 15 business days. If additional time is required, we will notify you of the delay and provide a resolution within 45 business days of receipt of your dispute.

If we are unable to resolve your dispute through our internal process, you agree to submit to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Georgia. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

Not a bank; not FDIC insured

SavaPay is not a bank, savings institution, or credit union. SavaPay is a technology company that provides payment and financial services through its platform. SavaPay is not a member of the Federal Deposit Insurance Corporation (FDIC) or the National Credit Union Administration (NCUA). Funds held in your SavaPay account are not insured by the FDIC, NCUA, or any other federal or state government agency.

SavaPay does not act as a fiduciary or investment advisor. SavaPay does not provide banking services, including but not limited to lending, interest-bearing deposit accounts, or lines of credit. Any references to "account," "wallet," or "balance" within the application are for convenience only and do not imply the existence of a bank account or deposit relationship.

You acknowledge and agree that by using SavaPay, your funds are not protected by deposit insurance and that you bear the risk of loss of funds held in your SavaPay account, except to the extent caused by SavaPay's gross negligence or willful misconduct.

Stellar blockchain and distributed ledger technology

SavaPay utilizes the Stellar blockchain network to facilitate certain transactions and services. The Stellar network is an independent, decentralized, open-source distributed ledger that is not owned, operated, or controlled by SavaPay. You acknowledge and agree that:

  • SavaPay is not responsible for the operation, performance, security, availability, or integrity of the Stellar blockchain network or any other distributed ledger technology used in connection with the Services.

  • Transactions submitted to the Stellar network are processed by independent validator nodes and are irreversible once confirmed. SavaPay cannot reverse, modify, or cancel any transaction that has been confirmed on the Stellar blockchain.

  • While the Stellar network has historically maintained a strong operational track record, SavaPay makes no warranties or guarantees regarding the continued availability, uptime, or performance of the Stellar network. Network outages, protocol upgrades, consensus failures, or other disruptions to the Stellar blockchain are beyond SavaPay's control.

  • SavaPay shall not be liable for any loss of funds, delayed transactions, failed transactions, or any other damages arising from or related to the operation or failure of the Stellar blockchain network, including but not limited to network congestion, protocol changes, hard forks, or validator node failures.

  • Changes to the Stellar network protocol, consensus mechanism, or fee structure may affect the availability, cost, or functionality of certain SavaPay services. SavaPay reserves the right to modify or discontinue any service that relies on the Stellar network in response to such changes.

Identity verification and Know Your Customer (KYC)

As a regulated financial services provider, SavaPay is required to verify the identity of its users in compliance with applicable Know Your Customer (KYC) and anti-money laundering (AML) laws and regulations. By creating an account, you agree to provide accurate, complete, and up-to-date identification information and documentation as requested by SavaPay.

You may be required to provide, without limitation: (1) a valid government-issued photo identification document (such as a passport, driver's license, or national identity card); (2) proof of residential address (such as a utility bill or bank statement); (3) a selfie or live photograph for identity matching; (4) your date of birth, nationality, and tax identification number; and (5) any additional documentation reasonably requested to verify your identity or the source of your funds.

SavaPay reserves the right to restrict, suspend, or terminate your account if you fail to provide requested verification documentation, if the documentation provided is insufficient or appears fraudulent, or if SavaPay is unable to verify your identity to its satisfaction. Certain services and transaction limits may be unavailable until identity verification is complete.

Anti-money laundering and compliance

SavaPay maintains an Anti-Money Laundering (AML) and Bank Secrecy Act (BSA) compliance program designed to prevent the use of its services for money laundering, terrorist financing, fraud, or other financial crimes. As part of this program, SavaPay may:

  • Screen users and transactions against the Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) list and other applicable sanctions lists.

  • Monitor transactions for suspicious activity and file Suspicious Activity Reports (SARs) with the Financial Crimes Enforcement Network (FinCEN) as required by law.

  • Place holds on transactions or accounts pending review, without prior notice to you, when required by law or when suspicious activity is detected.

  • Report information about you and your transactions to law enforcement or regulatory agencies as required or permitted by applicable law.

  • Refuse to process transactions or terminate accounts associated with jurisdictions subject to comprehensive U.S. sanctions or where SavaPay's services are not authorized.

You agree to cooperate fully with any investigation conducted by SavaPay or any regulatory or law enforcement authority. SavaPay is not obligated to disclose the details of its AML compliance procedures or the reasons for specific compliance actions taken on your account.

Electronic fund transfers and error resolution

To the extent that any services provided by SavaPay constitute electronic fund transfers subject to the Electronic Fund Transfer Act (EFTA) and Regulation E, the following disclosures apply:

Unauthorized transactions

If you believe an unauthorized transaction has occurred on your account, you must notify SavaPay immediately by contacting us at hello@SavaPay.io. Your liability for unauthorized transactions depends on how quickly you notify us: (1) if you notify us within 2 business days of learning of the unauthorized transfer, your liability is limited to $50; (2) if you notify us after 2 business days but within 60 days of the statement showing the unauthorized transfer, your liability is limited to $500; (3) if you fail to notify us within 60 days, you may be liable for the full amount of unauthorized transfers that occur after the 60-day period.

Error resolution

If you believe an error has occurred with a transaction, contact us at hello@SavaPay.io within 60 days of the transaction. Please provide: (1) your name and account information; (2) a description of the suspected error and the amount involved; and (3) why you believe an error occurred. We will investigate and resolve your claim within 10 business days (20 business days for new accounts). If we need additional time, we may take up to 45 calendar days (90 days for new accounts, point-of-sale transactions, or foreign-initiated transfers) to complete our investigation. If we require additional time, we will provisionally credit your account within 10 business days for the amount in dispute.

Electronic communications and consent

By creating a SavaPay account, you consent to receive all communications, agreements, disclosures, notices, and documents (collectively, "Communications") from SavaPay electronically, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act). Communications may be provided via the SavaPay application, email, push notification, or SMS.

To receive electronic Communications, you must have: (1) a mobile device with a compatible operating system (iOS or Android); (2) the current version of the SavaPay application installed; (3) a valid email address on file; and (4) sufficient storage to retain Communications or a printer to print them.

You may withdraw your consent to receive electronic Communications at any time by contacting us at hello@SavaPay.io. However, withdrawal of consent may result in the restriction or termination of your SavaPay account, as electronic delivery is required for the operation of our services.

Indemnification

You agree to indemnify, defend, and hold harmless SavaPay, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (1) your use of or inability to use the Services; (2) your violation of these Terms; (3) your violation of any applicable law or regulation; (4) your violation of any rights of a third party; (5) any unauthorized use of your account; or (6) any information or content you submit, post, or transmit through the Services.

Force majeure

SavaPay shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions or orders, embargoes, sanctions, labor disputes, power failures, internet or telecommunications failures, distributed ledger or blockchain network disruptions, cyberattacks, or failures of third-party service providers. During any such event, SavaPay's obligations shall be suspended for the duration of the force majeure event.

Currency conversion

SavaPay may offer currency conversion services in connection with certain transactions. Exchange rates are determined at the time of the transaction and may include a margin or markup applied by SavaPay. The applicable exchange rate, any fees, and the total amount of the transaction in both currencies will be disclosed to you before you confirm the transaction.

Exchange rates fluctuate continuously and the rate at which your transaction is processed may differ from rates quoted at other times or by other sources. SavaPay is not responsible for any losses arising from exchange rate fluctuations between the time a transaction is initiated and the time it is completed.

Sanctions and restricted jurisdictions

SavaPay complies with applicable economic and trade sanctions laws and regulations, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), to the extent they apply to card-based financial services. When you fund your account, make payments, or withdraw funds using a credit card, debit card, or bank transfer, those transactions are processed through traditional financial networks that are subject to sanctions screening. Accordingly, card-based transactions may be blocked, delayed, or declined if they involve persons, entities, or jurisdictions subject to comprehensive U.S. sanctions (including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).

You acknowledge that transactions conducted on the Stellar blockchain operate on a decentralized, permissionless network that is not controlled by SavaPay or any single entity. SavaPay does not apply traditional sanctions screening to on-chain blockchain transactions, as such transactions are processed by independent validator nodes. However, SavaPay reserves the right to restrict account access or card-based services if it determines, in its sole discretion, that an account is being used in a manner that may expose SavaPay to regulatory risk. SavaPay shall not be liable for any delays or losses resulting from compliance actions taken on card-based services.

Intellectual Property, Software and Content

The intellectual property rights in all software and content (including photographic images) made available to you on or through this application remain the property of SavaPay or its licensors and are protected by copyright laws and treaties around the world. All such rights are reserved by SavaPay and its licensors. You may store, print and display the content supplied solely for your own personal use. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, any of the content or copies of the content supplied to you or which appears on this application nor may you use any such content in connection with any business or commercial enterprise.

Disclaimer of Liability

The material displayed on this application is provided without any guarantees, conditions or warranties as to its accuracy. Unless expressly stated to the contrary to the fullest extent permitted by law, SavaPay, its suppliers, content providers, and advertisers, hereby expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity and shall not be liable for any damages whatsoever, including but without limitation to any direct, indirect, special, consequential, punitive or incidental damages, or damages for loss of use, profits, data or other intangibles, damage to goodwill or reputation, or the cost of procurement of substitute goods and services, arising out of or related to the use, inability to use, performance or failures of this application, the SavaPay platform, or the linked websites and any materials posted thereon, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise. This does not affect SavaPay's liability for death or personal injury arising from its negligence, fraudulent misrepresentation, misrepresentation as to a fundamental matter or any other liability which cannot be excluded or limited under applicable law.

Linking to this application

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you. This application must not be framed on any other site, nor may you create a link to any part of this application other than the home page. We reserve the right to withdraw linking permission without notice.

Disclaimer as to ownership of trademarks, images of personalities and third party copyright

Except where expressly stated to the contrary all persons (including their names and images), third party trademarks and content, services and/or locations featured on this application are in no way associated, linked or affiliated with SavaPay and you should not rely on the existence of such a connection or affiliation. Any trademarks/names featured on this application are owned by the respective trademark owners. Where a trademark or brand name is referred to it is used solely to describe or identify the products and services and is in no way an assertion that such products or services are endorsed by or connected to SavaPay.

Variation

SavaPay shall have the right in its absolute discretion at any time and without notice to amend, remove or vary the services and/or any page of this application.

Invalidity

If any part of the Terms of Service is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of the Terms of Service will not be affected all other clauses remaining in full force and effect. So far as possible where any clause/sub-clause or part of a clause/sub-clause can be severed to render the remaining part valid, the clause shall be interpreted accordingly. Alternatively, you agree that the clause shall be rectified and interpreted in such a way that closely resembles the original meaning of the clause/sub-clause as is permitted by law.

Complaints

We operate a complaints handling procedure which we will use to try to resolve disputes when they first arise. Please let us know if you have any complaints or comments by contacting us at hello@SavaPay.io.

Waiver

If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

Jurisdiction and applicable law

The US courts will have exclusive jurisdiction over any claim arising from, or related to, use of our application. These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of the State of Georgia.

Entire Agreement

The above Terms of Service constitute the entire agreement of the parties and supersede any and all preceding and contemporaneous agreements between you and SavaPay. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by a Director of SavaPay.
